PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE YOURORBITA PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. Who We Are and What We Are Not

1.1 Who We Are

YOURORBITA LLC (Florida Entity No. L26000378604), operating as YourOrbita ("YourOrbita," "we," "us," or "our"), operates a private, subscription-based software platform at yourorbita.com and associated applications (the "Platform"). The Platform is a professional profile management and private directory tool for independent service professionals ("Providers") and their existing clients ("Clients").

1.2 What We Are Not

The Platform is NOT any of the following:

  • A Transportation Network Company (TNC), rideshare company, or common carrier
  • A marketplace, lead generation platform, or public directory
  • An employer or principal of any Provider
  • A payment processor or merchant of record
  • A background check or credential verification service
  • An insurance provider
  • A booking agent, dispatcher, or staffing agency

1.3 No Matching of Strangers

The Platform does not connect Providers with unknown or anonymous clients. All connections occur through existing personal relationships or trusted Orbita recommendations.


2. Definitions

PlatformThe YourOrbita software, website, progressive web application, and any future native mobile applications published by YOURORBITA LLC
ProviderAn independent service professional who uses the Platform to manage their professional profile and client relationships
ClientA person who uses the Platform to organize their private directory of trusted Providers
Providers OrbitaA Client's private directory of saved Providers
Friends OrbitaA Client's private list of trusted contacts whose recommendations they value
Orbita memberA person who is part of a user's Friends Orbita
Orbita recommendationA Provider recommendation shared within a user's Friends Orbita
Clients OrbitaA Provider's list of clients who have saved them in their directory
Discovery PeriodThe free phase during which a Provider may maintain a profile without a paid subscription, as described in Section 4.1
SubscriptionA Provider's paid plan granting access to active Platform features
ProfileA Provider's live professional profile, visible only to Clients who have saved them
QR CodeA unique code generated for each Provider that Clients can scan to add the Provider to their directory

3. Eligibility and Accounts

3.1 Age Requirement

You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age. You will be required to provide your date of birth at signup. YourOrbita will use your date of birth to calculate your age and will block account creation if you are under 18.

Providing a false date of birth to circumvent the age requirement is a violation of these Terms and will result in immediate account termination.

3.2 One Account Per Phone Number

Each verified phone number may be associated with only one account. A person may maintain separate accounts provided each is registered to a distinct verified phone number. Creating multiple accounts on the same phone number, or creating accounts to impersonate others, generate spam, or manipulate the Platform, is a material breach of these Terms.

3.3 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.

3.4 Account Security

You are responsible for maintaining the confidentiality of your account and for all activity that occurs under your account.


4. Provider Subscriptions and Discovery Period

4.1 Discovery Period

Providers may use the Platform free of charge during the Discovery Period. The Discovery Period continues until YourOrbita determines, based on platform activity and direct outreach to the Provider, that the Provider has experienced meaningful value from the Platform. YourOrbita will contact the Provider directly before any Discovery Period ends and will not activate a subscription without the Provider's explicit confirmation. Providers may cancel at any time. The duration of the Discovery Period is determined by YourOrbita at its sole discretion and communicated to the Provider with a minimum of 60 days advance notice before any subscription begins.

4.2 Grace Periods

YourOrbita may offer free grace periods to Providers at its discretion. The duration, eligibility, and terms of any grace period are determined by YourOrbita and communicated at the time of offer.

4.3 No Surprise Charges

YourOrbita will never activate a paid subscription without a Provider's explicit confirmation. Providers will always be contacted directly and given an opportunity to confirm they are receiving value before any subscription charge occurs.

4.4 No Commission

YourOrbita does not charge a commission or transaction fee on services between Providers and Clients under the current subscription model.

4.5 Provider Owns the Relationship

Client relationships a Provider builds through the Platform are not transferred to or claimed by YourOrbita upon cancellation of a subscription. YourOrbita will never use a Provider's client data for any purpose other than operating that Provider's account.

4.6 Billing and Cancellation

When a Provider activates a subscription, it is billed monthly or annually via our payment processor. Providers may cancel at any time. Cancellation takes effect at the end of the current billing period.


5. Payments — Critical Disclaimer

5.1 YourOrbita Does Not Process Service Payments

The Platform does NOT process, facilitate, hold, transfer, or intermediate any payment between Providers and Clients for services rendered. All service payments are private transactions between Provider and Client. YourOrbita takes no percentage of any service transaction.

5.2 No Payment Guarantee

YourOrbita has no obligation and no ability to ensure that any payment is made, received, processed, or secured. YourOrbita is not responsible for any dispute regarding service payment between a Provider and a Client.

5.3 Provider Responsibility

Each Provider is solely responsible for: setting their own rates, collecting payment for services rendered, managing their own income taxes, obtaining any required business licenses or permits, maintaining any insurance required by applicable federal, state, or local law for their service category, and complying with all applicable laws governing their independent service work.

5.4 Provider Licensing and Regulatory Compliance

Licensing, certification, permit, and insurance requirements vary significantly by service category, jurisdiction, and individual circumstance. Some trades require government-issued licenses (such as electrical, plumbing, and HVAC work); others require professional certifications; others have no mandatory licensing requirement. Each Provider is solely responsible for determining what licenses, permits, certifications, and insurance apply to their specific trade and location, obtaining and maintaining them, and complying with all applicable federal, state, county, and municipal regulations governing their work. YourOrbita makes no representation about what any Provider is required to hold and does not verify compliance with any regulatory requirement. Listing a service category on YourOrbita does not constitute authorization to perform that service.


6. Provider Credentials — Self-Declaration Policy

6.1 Self-Declared Only

All credentials displayed on Provider profiles — including licenses, insurance, permits, and other professional credentials — are self-declared by the Provider. YourOrbita makes NO representation, warranty, or guarantee that any credential is accurate, current, valid, or genuine.

6.2 No Verification

YourOrbita does NOT verify, authenticate, or confirm any Provider credential. Providers are solely responsible for the accuracy of their credential information.

6.3 Client Reliance at Own Risk

Clients rely on Provider-supplied credential information entirely at their own risk. YourOrbita expressly disclaims all liability arising from inaccurate, false, expired, or fraudulent credential information submitted by any Provider.

6.4 False Credentials

Submitting false, fraudulent, or materially misleading credential information is a material breach of these Terms and may result in immediate account termination.

6.5 Future Verification

YourOrbita may in the future partner with third-party verification services. When available, verified credentials will be clearly distinguished from self-declared credentials on Provider profiles.

6.6 Client Responsibility to Verify

YourOrbita does not conduct background checks, license verifications, insurance confirmations, or any other screening of Providers in any service category. Before engaging any Provider for any service — including but not limited to home services, beauty and personal services, pet care, transportation, tutoring, fitness and wellness, mobile auto services, event services, or any other category — the Client is solely responsible for independently verifying that the Provider holds whatever licenses, certifications, permits, or insurance the Client deems appropriate for that specific service. YourOrbita's display of self-declared credential information does not constitute a verification or endorsement of that information. Clients engage Providers entirely at their own risk.


7. Orbita Sharing — Rules and Limitations

7.1 Sharing Within Your Orbita

Clients may share Providers with members of their Friends Orbita. Providers may not be shared with users outside the sharer's existing Friends Orbita. Sharing may never be monetized in any form.

7.2 Prohibition on Monetization of Recommendations

Users may NEVER charge, receive payment, receive goods, services, preferential treatment, or any other consideration — directly or indirectly — in exchange for giving or receiving an Orbita recommendation. This prohibition applies equally to the person sharing a recommendation and the person receiving one. A Provider may not offer any benefit to someone who recommends them. A user may not accept any benefit in exchange for a recommendation they give. This prohibition is absolute. Violation by either party results in immediate permanent account termination for all parties involved.

THIS PROHIBITION IS EXPLICITLY ACKNOWLEDGED AT ACCOUNT CREATION. By creating an account, you confirm that you understand this rule applies to you whether you are giving a recommendation or receiving one.

7.3 Pending Approval

No Provider is automatically added to a Client's Providers Orbita through a recommendation. All recommendations enter a "Pending" queue and require the Client's affirmative action to approve.

7.4 Private Toggle

Each Provider in a Client's Providers Orbita has a privacy setting. The default setting is "Keep Private." Clients are never obligated to share any Provider with any Orbita member.

7.5 Orbita Membership Requirements

Friends Orbita additions require mutual contact verification. Both parties must have each other's phone numbers saved in their contacts.


8. Prohibited Conduct

You agree not to:

  • Use the Platform to connect with or solicit users outside your personal directory and Friends Orbita
  • Create multiple accounts on the same phone number, or create accounts to impersonate others or manipulate the Platform
  • Provide a false date of birth or any other false identity information at signup or at any time
  • Submit false, misleading, or fraudulent credential information
  • Monetize Orbita recommendations in any form, directly or indirectly
  • Use automated tools, bots, scrapers, or scripts to interact with the Platform
  • Attempt to reverse engineer, decompile, or extract source code from the Platform
  • Use the Platform for any unlawful purpose or in violation of any applicable law
  • Interfere with the security, integrity, or performance of the Platform
  • Attempt to access any other user's account or private directory data
  • Harass, threaten, or harm any other user
  • Misrepresent your identity, qualifications, or professional credentials

9. Location Sharing — No Platform GPS

YourOrbita does NOT collect, store, or process real-time location data. The Platform has no GPS or location tracking infrastructure. During any service — including but not limited to transportation, home services, or any other service category — Providers may choose to share a real-time location link directly with their Client via third-party services such as Google Maps or Glympse. This location sharing occurs entirely outside YourOrbita's infrastructure and is not within YourOrbita's control or responsibility.


10. Disclaimers and Limitation of Liability

10.1 Platform Role Ends at Connection

YourOrbita's role ends at the initial connection between a Client and Provider. YourOrbita has no visibility, control, or responsibility for what occurs after a Client and Provider connect through the Platform, including the quality, safety, timeliness, or legality of any service provided.

10.2 Personal Injury and Death

YOURORBITA EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR OTHER HARM OCCURRING DURING OR IN CONNECTION WITH ANY SERVICE ARRANGED THROUGH THE PLATFORM. USERS ASSUME ALL RISK ASSOCIATED WITH SERVICES PERFORMED OR RECEIVED. YOURORBITA IS NOT AN INSURER AND DOES NOT PROVIDE ANY COVERAGE FOR INCIDENTS OCCURRING DURING SERVICES. This disclaimer expressly includes any injury, illness, death, loss, or damage involving an animal in a Provider's care during any pet care service arranged through the Platform.

10.3 AS-IS Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOURORBITA LLC'S TOTAL LIABILITY TO ANY USER FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY THE USER TO YOURORBITA IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

10.5 No Consequential Damages

YOURORBITA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


11. Indemnification

You agree to indemnify, defend, and hold harmless YOURORBITA LLC, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) any service you provide to or receive from another user; (d) any inaccurate or false credential or identity information you submit; (e) any personal injury, death, or property damage occurring during or in connection with any service; or (f) your violation of any applicable law or regulation.


12. Termination

12.1 By You

You may delete your account at any time. Provider subscribers should cancel their subscription before deleting their account.

12.2 By YourOrbita

YourOrbita reserves the right to suspend or terminate your account at any time for violation of these Terms, including but not limited to: fraudulent credential submission, providing a false date of birth, monetization of Orbita recommendations, conduct harmful to other users or the Platform, or other material breach. YourOrbita has no obligation to proactively monitor user conduct.


13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflicts of law principles.

13.2 Informal Resolution

Before filing any claim, contact legal@yourorbita.com. YourOrbita will attempt to respond within 30 days.

13.3 Arbitration

Unresolved disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in Miami-Dade County, Florida.

13.4 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.


14. Changes to These Terms

YourOrbita may modify these Terms at any time. If we make material changes, we will provide notice via email or in-app notification at least 30 days before changes take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.

16. SMS and Text Message Communications

16.1 Optional SMS Notifications

SMS and text message service notifications from YourOrbita are optional. After creating an account, you may choose to opt in to receive service-related SMS notifications. These messages may include: new service requests, provider responses to your requests, service confirmations, pre-service reminders, and cancellation notifications. SMS notifications are sent only in connection with platform activity you initiate or are directly involved in. You are not required to opt in to SMS notifications to create an account or access any Platform feature.

16.2 Not a Condition of Purchase

Consent to receive SMS notifications is not a condition of purchasing any subscription or service. You may use the Platform without receiving SMS notifications, subject to reduced notification functionality.

16.3 Opt-Out

You may opt out of SMS notifications at any time by replying STOP to any message from YourOrbita. After opting out, you will receive a single confirmation message and no further SMS notifications will be sent. To re-enable SMS notifications after a previous STOP, reply START to any YourOrbita message. Note: START only reverses a previous STOP. If you have not previously opted in to SMS notifications, replying START will not enable them — contact support@yourorbita.com to opt in.

16.4 Help

Reply HELP to any YourOrbita SMS message for assistance, or contact support@yourorbita.com.

16.5 Message Frequency and Rates

Message frequency varies based on your platform activity. Messages are sent only when there is relevant platform activity associated with your account. Message and data rates may apply depending on your mobile carrier plan.

16.6 Carriers

YourOrbita is not responsible for delayed or undelivered messages. Supported carriers include all major US carriers. Carrier support may vary.
